Standard mutual NDA
Confidentiality is not an option at Hush Partners. This agreement applies by default to every request and every file, to both sides, from the first message and after closing.
Last updated: October 10, 2026When it applies
This mutual non-disclosure agreement ("NDA") applies automatically when you send a request through any form on this website, when you reply to a note or open a private room we sent you, and throughout any mandate you give us. You accept it when you tick the consent box on a form or when you reply to us. A signed copy can be issued for your records at any time; its terms are the same.
Parties
The NDA binds Hush Partners LLC ("Hush Partners", "we"), registered at 108 West 13th Street, Wilmington, New Castle, Delaware 19801, and you, together with the organization you act for ("you"). Where a file involves a holder and an acquirer, each of them is bound to us by this NDA, and we hold each one's information separately.
Confidential information
Confidential information means anything disclosed in connection with a request or a file, in any form, including:
- the identity of the holder, the acquirer, their advisers and the people acting for them
- the fact that a request, a valuation, an approach or a negotiation exists
- the asset concerned, its valuation and the buyer map
- prices, offers, terms, validity dates and the content of private rooms
- wallet addresses linked to a party, and any document provided to verify identity or authority
Obligations
Each party will use confidential information only to assess and carry out the transaction concerned, protect it with at least the care it gives its own confidential information, and share it only with its own staff and professional advisers who need it and are bound by equivalent confidentiality. We never reveal a holder to an acquirer, or an acquirer to a holder, without that party's consent.
Exclusions
The obligations do not apply to information that is or becomes public through no breach of this NDA, that the receiving party already held lawfully, that it receives lawfully from a third party free to disclose it, or that it develops independently. A party may disclose information when required by law or by a competent authority, after informing the other party where the law allows it.
Onchain records
Registry entries, transfers and wallet balances are public by nature. This NDA does not restrict anyone from reading them. It does restrict linking a public record to a party, a price or a negotiation that was disclosed in confidence.
No announcement
No party will announce, publish or comment on a transaction, a negotiation or the other party's involvement without the other party's written consent. We never use a client, a counterparty or an asset as a reference, a case study or a logo. A new holder may announce its own TLD, on its own timing, without naming the seller or Hush Partners.
Duration
The NDA starts with your first message and continues after a file closes or ends without a transaction. The obligations have no end date: what was confidential stays confidential. The information itself is kept only for as long as the exchange or the negotiation lasts, then deleted.
Return and deletion
On written request, each party will delete or return the other's confidential information, except copies it must keep by law or within routine backups, which remain covered by this NDA. Our retention periods are set out in the privacy policy.
Remedies
A breach may cause harm that money cannot fully repair. Each party may seek injunctive relief in addition to any other remedy. This NDA creates no obligation to enter into a transaction, and no licence or right over any asset.
Governing law
This NDA is governed by the laws of the State of Delaware, and the state and federal courts located in New Castle County, Delaware, have exclusive jurisdiction. Questions about it: contact the desk. It works alongside our terms of service and privacy policy.
